FBSPY – General Terms and Conditions of Sale

These General Terms and Conditions of Sale (“Terms”) govern any access to and use of the FBSPY software and paid subscriptions provided by FBSPY (“FBSPY”, “we”, “us”, “our”). By creating an account, starting a subscription, or using any part of the Service, you agree to these Terms.
We may update these Terms from time to time. We’ll post the updated version on our site with a new “Effective date”. Continued use of the Service after changes means you accept them.
1) The Service
FBSPY is a SaaS market-intelligence tool that indexes and surfaces publicly available ads, creatives and shop signals to help users research e-commerce products and marketing strategies. FBSPY aggregates data from third-party platforms but is not affiliated with or endorsed by Meta/Facebook, Instagram, TikTok, Google, or any other third party.
2) Accounts & Eligibility
You must be at least 18 years old and able to form a binding contract.
Register with accurate, up-to-date information and keep it updated.
You’re responsible for any activity under your account and for keeping your credentials secure. One account per person; do not share logins.
3) Plans
We offer:
Free plan – limited features and/or usage; may be changed, limited or discontinued at any time.
Paid plan – monthly or annual subscription with extended features.
We do not use a “credits” system.
4) Prices & Taxes
Prices are displayed in USD, tax-inclusive where applicable (e.g., VAT/GST). Final tax treatment may vary by location and status (e.g., business VAT numbers). We may change prices prospectively at any time; if a change affects you, we’ll notify you in advance and it will apply on your next renewal.
5) Payments, Billing & Invoices
Payments are processed by Stripe. By subscribing you authorise us (through Stripe) to charge your payment method immediately and on each renewal term.
If a charge fails, we may retry, request another method, or suspend/terminate access.
Invoices are available from your Account → Billing area. If you need help, email info@fbspy.eu.
6) Subscriptions, Auto-Renewal & Cancellation
Subscriptions run monthly or annually and auto-renew for the same term unless cancelled.
You can cancel at any time from Account → Billing → Cancel, or by emailing info@fbspy.eu (using the email tied to your account).
Cancellation stops future renewals. You keep access until the end of your current paid term. No pro-rata refunds unless expressly stated in Section 7.
7) Retractation & Refunds
7.1 14-Day Cooling-Off (Worldwide, consumers)
We voluntarily grant all consumer customers worldwide a 14-day withdrawal period from the first purchase date. If you cancel within 14 days, we will refund the subscription fee in full. (This promise is in addition to any non-waivable rights in your country.)
7.2 Business customers
We also extend the same 14-day cancellation as a goodwill policy to business customers (B2B). After 14 days, the purchase is final.
7.3 After 14 days
No refunds after the 14-day window, except the “first-purchase 24-hour” exception below.
7.4 First-purchase 24-hour exception
For your first-ever purchase on FBSPY only, you may request a refund within 24 hours of payment. We may ask for a brief reason and reserve the right to decline if there is clear substantial use/abuse.
7.5 How to retract
Email info@fbspy.eu from your account email, and email us for the refund request.
8) Acceptable Use
You must not:
share or resell access;
scrape, harvest, bulk-export, or systematically download data from FBSPY;
use bots, automation or any method to bypass product limits or security;
reverse engineer, copy or replicate the Service;
upload or use the Service in a way that infringes third-party rights, violates law, or misleads consumers;
misuse third-party platforms’ terms when acting on insights found in FBSPY.
We may suspend or terminate accounts that breach this Section.
9) Intellectual Property
FBSPY and its contents, software, UI, documentation and databases are owned by FBSPY or our licensors and protected by IP laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business or personal research during your subscription. All rights not expressly granted are reserved.
If you provide feedback, you grant us a worldwide, royalty-free, perpetual licence to use it.
10) Third-Party Data & Links
The Service surfaces data and links from third-party sources. We do not control, endorse or guarantee third-party content, availability or accuracy. Platforms may change, remove or restrict data at any time; FBSPY’s outputs will vary accordingly.
11) Availability & Changes
We aim for high availability but no specific SLA is provided. The Service may be unavailable for maintenance, updates, provider issues, or events beyond our control. We may add, modify or discontinue features at any time.
12) Privacy & Cookies
Your use is also governed by our Privacy Policy and Cookie Policy (as updated from time to time). By using the Service you consent to those policies.
13) Warranties & Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, accurate or complete.
14) Limitation of Liability
To the maximum extent permitted by law:
Indirect damages excluded: we will not be liable for indirect, incidental, special, punitive or consequential damages, loss of profits, revenue, data, goodwill or business interruption.
Cap: our total liability for any claim arising out of or relating to the Service or these Terms is limited to the amount you paid to FBSPY in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded by law (e.g., for fraud or personal injury caused by negligence).
15) Indemnity
You will indemnify and hold FBSPY harmless from claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of your misuse of the Service or breach of these Terms.
16) Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control (force majeure), including platform changes by third parties, outages, war, strikes, acts of government, natural disasters, or internet/network failures.
17) Term & Termination
We may suspend or terminate your access (with or without notice) if you materially breach these Terms or if required by law. On termination, your licence ends and you must stop using the Service. Sections that by nature should survive (e.g., IP, payments due, disclaimers, limitation of liability, governing law) will survive.
18) Notices
We may contact you via the email linked to your account or by in-product notices. You must keep your contact details current.
19) Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.
20) Severability & No Waiver
If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
21) Governing Law & Jurisdiction
These Terms are governed by French law. Any dispute will be submitted to the exclusive jurisdiction of the courts of Paris, France, without regard to conflict-of-law rules. Consumers may also benefit from any non-waivable rights and forums provided by their local law.
22) Entire Agreement & Language
These Terms, together with any referenced policies, constitute the entire agreement between you and FBSPY regarding the Service and supersede prior agreements on the subject. If we provide translations, the English version controls.
